Acceptance of Terms

Welcome to CurrencyWars.com. By reading and continuing to use our site you (“You” or “Your”) agree to the following Terms and Conditions (“TC”) and to our Editorial Policy, and Privacy Policy. This website is operated by Currency Wars, LLC. (“CurrencyWars.com”, “we” “us” “our”), a New York State Limited Liability Company located in the City of New York. These Terms of Use govern, and constitute an Agreement between you and us regarding, your use of CurrencyWars.com, any mobile applications operated or approved by CurrencyWars.com and any other communication tools including e-mail or any other content delivery method (collectively, the “CurrencyWars”).

We reserve the right at any time to:

Change the terms and conditions of the TC;
Change all or any portion of the CurrencyWars.com website, including eliminating or discontinuing any content or feature of the site; or
Change other conditions for use of the CurrencyWars.com including fees or other changes for Research (with reasonable notice, in our sole discretion).

Any changes we make to the TC will be effective immediately after we post the modified TC on CurrencyWars.com.

Content on CurrencyWars.com

All of the information and other content displayed on, transmitted through, or used in connection with the CurrencyWars.com, including for example, advertising, directories, guides, articles, opinions, reviews, text, photographs, images, illustrations, audio clips, video, html, source and object code, software, data, the selection and arrangement of the aforementioned and the “look and feel” of the site (collectively, the “Content”), are protected under applicable copyrights and other proprietary (including but not limited to intellectual property) rights and are the intellectual property of Currency Wars, LLC, and its affiliated companies, licensors and suppliers. Currency Wars, LLC actively protects its rights to the Content to the fullest extent of the law.

You may use the Content online and solely for your personal, non-commercial use, and you may download or print a single copy of any portion of the Content for your personal, non-commercial use, provided you do not remove any trademark, copyright or other notice contained in such Content. You may not, for example, republish the Content on any Internet, Intranet or Extranet site or incorporate the Content in any database, compilation, archive or cache or store the Content in electronic form on your computer or mobile device unless otherwise expressly permitted by CurrencyWars.com in writing. You may not distribute any of the Content to others, whether or not for payment or other consideration, and you may not modify, copy, frame, reproduce, sell, publish, transmit, display or otherwise use any portion of the Content, except as permitted by the ToU or by securing the prior written consent of Currency Wars, LLC.
The Content includes logotypes, trademarks and service marks (collectively “Marks”) owned by Currency Wars, LLC, and Marks owned by other information providers and third parties. For example, “Currency Wars” is a registered trademark of Currency Wars, LLC. No Marks may be used in any manner unless approved in advance, in writing by Currency Wars, LLC.
Requests to use the Content for any purpose other than as permitted in the ToU should be submitted to [email protected].

Infringement Complaints

CurrencyWars.com respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement or are aware of any infringing material placed by any third party on the Website, please contact our designated copyright agent, in writing, either by email at [email protected] and provide the following information as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. Section 512(c)(3):

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyright work claimed to have been infringed;
Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to locate the material;
Information sufficient to permit us to contact the complaining party, including address, telephone number, and e-mail address;
A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Rules of Conduct

Your use of CurrencyWars.com is subject to all applicable local, state, national and international laws and regulations. You agree to abide by all such laws and regulations, including those relating to intellectual property, defamation, privacy, and the transmission or exportation of data.

You agree that you will not do or assist any third party to do, any of the following:

Defame, abuse, harass, stalk, threaten, or otherwise violate the legal right of another person or advocate any of the foregoing;
Publish, post, upload, e-mail, distribute, or disseminate (collectively, “Transmit”) any inappropriate, profane, defamatory, infringing, obscene, indecent, or unlawful content;
Transmit files that contain viruses, worms, Trojan horses, corrupted files, or any other similar software or programs that may damage, disrupt, or adversely affect the operation of another person’s computer, the sites, any software or hardware, or telecommunications equipment;
Advertise, promote, solicit, or offer to sell any goods or services for any commercial purpose unless you have our prior written consent to do so;
Transmit surveys, contests, pyramid schemes, spam, unsolicited advertising or promotional materials, or chain letters;
Download any file that you know or reasonably should know cannot be legally obtained in such manner;
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or the source of software or other material;
Restrict or inhibit any other user from using and enjoying any public area within CurrecyWars.com, including, without limitation, by means of “hacking” or defacing any portion of the website;
Interfere with or violate any other CurrencyWars.com user’s right to privacy; solicit, collect or store personal information about other users of the CurrencyWars.com without their express consent;
Impersonate any person or entity, including, but not limited to, CurrencyWars.com representative, or falsely state or imply, or otherwise misrepresent your affiliation with a person or entity;
Forge headers or manipulate identifiers or other data in order to disguise the origin of any content transmitted through CurrencyWars.com or to manipulate your presence on our site;
Use CurrencyWars.com or the materials contained it for any fraudulent or unlawful purpose;
Interfere with or disrupt CurrencyWars.com, its servers, or networks, or take any action that imposes an unreasonably or disproportionately large load on our infrastructure;
“Frame” or “mirror” any part of CurrencyWars.com without our prior written authorization;
Use any robot, spider, site search/retrieval application or other manual or automatic device or process to access, monitor, copy, retrieve, index, “data mine” or in any way reproduce or circumvent the navigational structure or presentation of CurrencyWars.com, any part of the website, or its contents. A limited exception is provided to general purpose Internet search engines and non-commercial public archives that use such tools to gather information for the sole purpose of displaying hyperlinks to CurrencyWars.com, provided they each do so from a stable IP address or range of IP addresses using an easily identifiable agent.

Press Release Removal

CurrencyWars.com reserves the right to take down any document (press release), article, blog post, advertisement submitted by the you at any time for any reason whatsoever without the your permission. The owner of the document can request to recall the distribution at any time, however an additional $125 handling fee will be charged for such requested removal.

Disclaimer of Warranty and Limitation of Liability

The information, products and services on the CurrencyWars.com website are provided on a strictly “as is,” “where is” and “where available” basis. CurrencyWars.com does not provide any warranties (either express or implied) with respect to the information provided on this site and/or your use of this site for any particular purpose. CurrencyWars.com expressly disclaims any implied warranties, including but not limited to, warranties of title, non-infringement, merchantability or fitness for a particular purpose. Currency Wars, LLC will not be responsible for any loss or damage that could result from interception by third parties of any information made available to you via this site. Although the information provided to you on this website is obtained or compiled from sources we believe to be reliable, CurrencyWars.com cannot and does not guarantee the accuracy, validity, timeliness, or completeness of any information or data made available to you for any particular purpose. Neither CurrencyWars.com, nor any of its affiliates, directors, officers or employees, nor any third party providers of content, software and/or technology (collectively, the “Parties”), will be liable or have any responsibility of any kind for any loss or damage that you incur in the event of any failure or interruption of the CurrencyWars.com site, or resulting from the act or omission of any other party involved in making the site, the data contained therein or the products or services offered thereby available to you, or from any other cause relating to your access to, inability to access, or use of the site or the materials contained therein, whether or not the circumstances giving rise to such cause may have been within the control of CurrencyWars.com or of any independent vendor providing software or services.

In no event will Currency Wars, LLC or any of the CurrencyWars.com parties be liable to you, whether in contract or tort, for any direct, special, indirect, consequential or incidental damages or any other damages of any kind even if CurrencyWars.com or any other such party has been advised of the possibility thereof. This limitation on liability includes, but is not limited to, the transmission of any viruses which may infect a user’s equipment, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems (e.g., you cannot access your internet service provider), unauthorized access, theft, operator errors, strikes or other labor problems or any force majeure. CurrencyWars.com cannot and does not guarantee continuous, uninterrupted or secure access to the site.

Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability shall be the minimum permitted under such applicable law.

Indemnification

You the user agree to indemnify, defend and hold harmless CurrencyWars.com, its parents, subsidiaries, affiliates, officers, directors, co-branders and other partners (including third-party partners to whom the WEBSITE may provide Your Content (“Third Parties”)), employees, consultants and agents, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that the Company or Third Parties may incur as a result of or arising from (1) Your Content and any information you (or anyone accessing the Services using your password) submit, post or transmit through the Services, (2) your (or access to the Services as you) violation of these Terms or applicable law or regulation, (3) your (or anyone using your account’s) violation of any rights of any other person or entity (including, but not limited to, third party privacy rights), or (4) any information or content we collect from third parties through the WEBSITE or Service at your request, or (5) any viruses, trojan horses, worms, time bombs, cancelbots, spyware or other similar harmful or deleterious programming routines input by you into the Services.

Choice of Law

The TC and the agreement formed hereby (“Agreement”) shall be governed by, and construed and enforced in accordance with, the laws of the State of New York, without regard to conflicts of laws provisions. Unless otherwise agreed in writing by you and us, any dispute arising out of or relating to the Agreement, or the breach hereof, shall be finally resolved by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, or such arbitration body as required by law, rule or regulation, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. The arbitration will be conducted in the English language before a single arbitrator in the City of New York, New York. Such arbitration must be commenced within one (1) year after the claim or cause of action arises. If for any reason any provision of this Agreement, or a portion thereof, shall be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of this Agreement, and the remainder of this Agreement shall continue in full force and effect. This Agreement constitutes the entire agreement between us and you with respect to the CurrencyWars.com and it supersedes all prior or contemporaneous communications, agreements and understandings between us and you with respect to the subject matter hereof. A printed version of this Agreement shall be admissible in judicial or administrative proceedings.

Miscellaneous

The Terms constitute the entire and exclusive and final statement of the agreement between you and CurrencyWars.com with respect to the subject matter hereof, and govern your use of the Services, superseding any prior agreements or negotiations between you and us with respect to the subject matter hereof. Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction in the State of New York to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and that the other provisions of the Terms remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Terms must be filed within six (6) month after such claim or cause of action arose or be forever barred. The section titles in the Terms are for convenience only and have no legal or contractual effect.
